Detailed analysis

Understanding law and procedure

Not every bond is illegal, and a written penalty is not automatically payable. Enforceability depends on the clause’s purpose, duration and amount, the contract, and applicable law.

In Vijaya Bank v. Prashant B. Narnaware, 2025 INSC 691, the Supreme Court upheld the minimum-service clause in that case. This should not be understood as approval of all private employment bonds without scrutiny. The principles governing restraint of trade and compensation under the Contract Act may have different effects.

What should you do now?

  1. Read the full text of the bond and appointment letter.
  2. Ask for details of the training, recruitment costs, and the employer’s calculation.
  3. Decide how to respond in writing regarding early exit, settlement, and a disputed demand.

Which documents should you keep?

The bond, appointment documents, training records, resignation, and demand notice.

Avoid this mistake

It is not advisable to ignore a notice because you have heard that ‘all bonds are unlawful’, or to assume that every amount demanded is automatically justified.

A hypothetical example

Reading a judicial decision concerning a bank bond does not mean that every large penalty imposed by a private employer is valid. The tenure, amount, and purpose must be examined under the separate contract; read the clause in light of your employment facts.

Can an employee be forced to work under a bond?

A claim for compensation and compelling someone to provide personal service are separate legal questions.
