Detailed analysis

Understanding law and procedure

After employment ends, distinguish non-compete restraints from confidentiality obligations. Indian contract law places limits on restraints of trade; not every contract clause is automatically enforceable.

Understand the law and the process

Exclusive service during employment, competition after leaving a job, and protection of trade secrets are separate issues. Taking a former employer’s confidential information, client data or proprietary code may create a separate problem, even if a broad non-compete clause does not apply. Provisions on non-solicitation and training costs also require separate review. The fact that an employment bond was upheld in another case does not establish that every post-employment restriction is valid. Advice should be sought after considering the actual wording, duration, purpose and relief being sought.

In detail: What factors could change the outcome?

Before taking a new job, review the old agreement and complete the return of confidential material. Distinguish personal skills from the company’s protected information. The process for deleting data from your devices should also be lawful and documented; concealing the employer’s records or copying them without permission may weaken your position.

What should you do?

  1. Identify the non-compete, confidentiality and solicitation clauses separately.
  2. Obtain proof of the return of company assets and confidential files.
  3. If you receive a notice or threat, provide a targeted legal response based on the contract and your actual duties.

Which documents should you keep?

Keep the employment agreement, exit documents, confidentiality policy, asset-return receipt and any notice.

Hypothetical example

One engineer joined another company based on their experience; another took source code with them. They would not both be treated alike merely because they joined a competitor. The distinction between skills and confidential property is important.

If the non-compete is weak, can you take the client database with you?

No. Obligations relating to confidentiality, data access and intellectual property may continue to apply separately.
