Resigning as a director, ending employment and changing share ownership are separate events. The treatment of shares depends on the articles, shareholder agreement, vesting arrangements and applicable company law.

Understand the Law and the Process

The wording of provisions on unvested shares, buybacks, transfer restrictions and good-leaver/bad-leaver clauses is important. Not every clause in a private agreement can bypass the statutory procedure. A director’s resignation does not automatically end bank access, guarantees or other obligations. It must also be checked which entity was assigned the startup’s code, brand and customer data. If assets are held in a founder’s personal account, a dispute over practical control may arise at the time of exit. Relying only on a verbal understanding of the partnership may prove costly.

In Detail: What Could Change the Outcome?

Include the cap table, statutory filings, handover, credentials, IP assignment and pending payments in the exit checklist. Surrendering shares or transferring them at a nominal price may have tax and legal consequences; do not act hastily without a review. If there is a dispute, negotiate on the basis of company records and signed agreements.

What Should You Do?

  1. Review the articles, shareholder agreement and vesting documents together.
  2. Set out separate procedures for role resignation, share transfer and IP handover.
  3. Complete board/shareholder approvals and required filings, and document the settlement.

Which Documents Should You Keep?

Keep the cap table, articles, shareholder agreements, IP assignments, resolutions and resignation records.

Hypothetical Example

A founder resigned as a director, but the founder’s shares were vested and no transfer agreement had been made. The other founders cannot treat the founder’s ownership as having ended merely because of a resignation email.

Does a Personal Guarantee Automatically End When Someone Leaves the Company?

No. The guarantee and the lender’s release are separate matters; an explicit release or applicable legal basis must be considered.
