If a Client Withholds Payment from a Freelancer, How Can Invoices and Agreements Help?

Detailed analysis

Understanding law and procedure

Evidence of the agreed scope, delivery, acceptance and payment due date is important when a freelancer seeks to recover payment. Sending an invoice alone does not always prove that the entire claim was accepted.

Understand the Law and Procedure

First, check whether the agreement provides for milestone payments, final approval or conditions such as unlimited revisions. If the client has used the deliverables, a record of that use may be relevant, but every use does not resolve the entire dispute. It is not appropriate to describe work defects or a genuine dispute about scope as payment fraud alone. Civil recovery, arbitration or an MSME remedy for an eligible micro or small enterprise may be available subject to separate conditions. Do not assume that obtaining registration later will make a special statutory benefit applicable to every earlier transaction. Check the limitation period based on the due date and the nature of the claim.

In More Detail: What Could Affect the Outcome?

Send the client a concise reconciliation setting out the agreed work, delivery dates, revisions, payments received and outstanding amount. Do not make all confidential project files public unless necessary. If a settlement is reached, record the payment schedule, what happens in the event of default and any release of rights in writing. Invoice numbering and a bank trail can help make the dispute easier to understand later.

What Should You Do?

  1. Prepare a clear calculation of the outstanding amount based on the agreement and the work delivered.
  2. Send the client a payment demand and give them an opportunity to identify disputed items separately.
  3. Choose a recovery forum based on the amount, the contract clause and the enterprise's status.

Which Documents Should You Keep?

Keep the scope agreement, invoices, delivery emails, evidence of acceptance or use, and payment statements.

Hypothetical Example

A designer agreed on a fee for five pages, but the client requested ten additional revisions. The original scope and subsequent changes must first be separated; only then will the outstanding amount and claim for extra work be clear.

Should a Police FIR Be Filed for Every Unpaid Invoice?

Payment default alone is generally not automatic proof of criminal fraud. The elements of deception from the outset and any other offence must be established separately.
